Terms and Conditions

1. Acceptance of Terms

By downloading, installing, or using the Myna desktop application ("the Software"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not download, install, or use the Software.

Myna Limited ("Myna", "we", "us", or "our") reserves the right to update these Terms at any time. Continued use of the Software after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Myna is a desktop call recording and transcription application for Windows. The Software captures audio from your system and microphone, transcribes recordings locally using whisper.cpp, and optionally generates AI summaries using Ollama. All processing occurs locally on your device.

Optional features include read-only calendar synchronisation with Google Calendar and Microsoft Outlook, and licence-based access to enhanced transcription models and AI features.

3. Licence Tiers

The Software is available under the following licence tiers:

  • Trial — A 14-day trial providing full access to all features, including Pro features. No credit card is required. The trial begins upon first installation of the Software.
  • Free — After the trial period expires, the Software reverts to the Free tier, which includes audio recording and basic playback functionality.
  • Pro — A paid licence providing full access to all features, including enhanced transcription models, AI-powered summaries, and action item extraction. Available as a monthly subscription or a one-time lifetime purchase.

Feature availability within each tier may change over time. We will endeavour to provide reasonable notice of any material changes to tier features.

4. Payment Terms

Payment for Pro licences is processed by Stripe. All prices are quoted in British Pounds Sterling (GBP) unless otherwise stated. By purchasing a licence, you agree to Stripe's terms of service for payment processing.

For monthly subscriptions, you will be billed at the start of each billing period. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

For lifetime licences, payment is a single one-time charge. The lifetime licence grants you access to Pro features for the lifetime of the product.

5. Trial Terms

The 14-day trial begins automatically when you first install and run the Software. No credit card or payment information is required to begin the trial. During the trial, you have full access to all Pro features.

When the trial period ends, the Software will continue to function with Free tier features. No recordings, transcripts, or other data will be deleted when the trial expires. You may upgrade to a Pro licence at any time.

6. Refund Policy

If you are not satisfied with the Software, you may request a full refund within 14 days of your initial purchase. Refund requests should be directed to legal@meetmyna.com and will be processed within 10 business days.

Refunds for monthly subscriptions apply to the most recent billing period only. Refunds for lifetime licences apply to the full purchase price if requested within the 14-day window.

After the 14-day refund window, refunds are provided at our sole discretion.

7. Intellectual Property

The Software, including its source code, design, user interface, documentation, and all associated intellectual property, is owned by Myna Limited and is protected by copyright and other intellectual property laws.

Your licence grants you the right to use the Software in accordance with these Terms. You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.

You own your data. All recordings, transcripts, summaries, action items, and other content created by you using the Software belong entirely to you. Myna Limited claims no ownership, licence, or rights over your content.

8. User Responsibilities

By using the Software, you agree to:

  • Use the Software only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
  • Not use the Software to record conversations in jurisdictions or circumstances where such recording is unlawful.
  • Not attempt to circumvent, disable, or interfere with any licence validation or security features of the Software.
  • Not redistribute, sublicence, or resell the Software or any licence keys.

9. Recording Consent

Important: Recording laws vary by jurisdiction. Many jurisdictions require the consent of one or all parties before a conversation may be recorded. Some jurisdictions prohibit recording certain types of conversations entirely.

It is your sole responsibility to understand and comply with all applicable recording consent laws in your jurisdiction and the jurisdictions of all parties to any conversation you record. This includes but is not limited to:

  • Obtaining consent from all parties to a conversation where required by law before beginning a recording.
  • Understanding whether your jurisdiction operates under one-party or all-party consent rules.
  • Complying with workplace recording policies and regulations.
  • Respecting the privacy and rights of all participants in any recorded conversation.

Myna Limited provides a recording tool. We do not provide legal advice. If you are unsure about the legality of recording a particular conversation, you should seek independent legal advice before using the Software for that purpose.

Myna Limited accepts no liability for any recordings made in violation of applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Myna Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your use of the Software, regardless of the cause of action or the theory of liability.

In no event shall Myna Limited's total cumulative liability to you for all claims arising out of or relating to these Terms or your use of the Software exceed the amount you have paid to Myna Limited for the Software in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Myna Limited does not warrant that:

  • The Software will meet your specific requirements.
  • The Software will be uninterrupted, timely, secure, or error-free.
  • Transcriptions will be completely accurate.
  • AI-generated summaries or action items will be complete or error-free.
  • The Software will be compatible with all hardware configurations or third-party software.

12. Termination

You may stop using the Software and uninstall it at any time. Your recordings and transcripts will remain on your device.

We may revoke or suspend your licence if you:

  • Breach any of these Terms.
  • Attempt to circumvent licence validation or use stolen licence keys.
  • Redistribute the Software or licence keys without authorisation.
  • Use the Software for any unlawful purpose.

Upon termination or revocation of your licence, your right to use Pro features ceases. Free tier features will remain available. Your existing recordings, transcripts, and other locally stored data are not affected by licence termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Software after any changes constitutes acceptance of the new Terms.

For material changes that significantly affect your rights, we will endeavour to provide notice through the application or on our website.
